Will the Ferrero Group's (Ferrero's) acquisition of breakfast cereal maker WK Kellogg Co (Kellogg) close before 1 January 2026?

On 10 July 2025, Kellogg announced an agreement to be acquired by Ferrero in an all-cash deal "subject to approval by WK Kellogg Co shareowners, regulatory approvals and other customary closing conditions" that is expected to close in 2025 (PR Newswire - WK Kellogg, CBS News). Whether a complaint is filed by the Department of Justice or the Federal Trade Commission (FTC) is immaterial (FTC - Merger Review, Department of Justice - Merger Review Process, Investopedia - Antitrust). The question will close early if both Ferrero and Kellogg announce that they are no longer seeking to close the deal.
